Terms of Use

Draft for review. This is a starter Terms of Use describing how admeistr is actually used. Have it reviewed by counsel — especially the liability cap, dispute resolution, and AI-output sections — before publishing.

These Terms of Use ("Terms") govern your access to and use of the admeistr platform ("admeistr", "we", "us"). By creating an account or using admeistr, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the service.

1. Eligibility

You must be 18 or older to use admeistr. If you're using admeistr on behalf of a company, you confirm you have authority to bind that company to these Terms.

2. Your account

Keep your credentials secure. You're responsible for all activity under your account.
Notify us immediately at security@admeistr.com if you suspect a compromise.
One person per account. Sharing logins is prohibited.
You may invite collaborators (workspace members, brand approvers, external clients); each must agree to these Terms.

3. Acceptable use

You agree NOT to:

Upload data you don't have rights to (your clients' data, personal data without consent, or content that infringes third-party IP).
Reverse-engineer, scrape, or systematically extract data from admeistr beyond what the official APIs permit.
Probe, scan, or test the vulnerability of admeistr without explicit written authorisation. Coordinated disclosure of security issues is welcomed at security@admeistr.com.
Use admeistr to send unsolicited marketing, spam, or harassing content.
Use AI-generated content from admeistr in a way that misrepresents its source or violates the platform terms of the destination channel (e.g. running ads with content that breaches Meta or Google ad policies).

4. Your content

You retain all rights to the data and content you upload ("Your Content"). You grant admeistr a limited, non-exclusive licence to host, store, transmit, process, and display Your Content solely to operate the service on your behalf and within the workspaces you authorise.

If you invite collaborators into a workspace, you authorise them to access Your Content according to the permission level you grant. Brand-approver grants, in particular, give the recipient the ability to freeze (approve) artefacts; once approved, an artefact can only be superseded by a new version, not edited in place.

5. AI features and disclaimer

admeistr's Report Agent and Content Agent generate output using third-party AI models. You acknowledge that:

AI output is a draft. You are responsible for reviewing it before sending to a client, publishing it, or relying on it for a decision.
AI output may contain inaccuracies. We constrain it to numeric data from your workspace and instruct it to cite rules, but errors can still occur.
AI output is generated based on the brand profile and data present at the time of generation. Regenerating produces a new version; previously approved versions are preserved as audit history.

6. Service availability

We aim for high availability but do not guarantee uninterrupted service. We may schedule maintenance with reasonable notice. We may also make changes to features, pricing, or policy with reasonable notice.

7. Pricing and payment

If you are on a paid plan, the specific terms, prices, and billing cycle are listed in your account settings. We may change pricing on a renewal cycle with at least 30 days' notice. AI generation is metered by token usage; consumption is visible in your workspace.

8. Termination

You may cancel at any time from account settings. We may suspend or terminate accounts that violate these Terms, with notice where reasonable. On termination:

You have 30 days to export Your Content via the CSV export endpoints.
After that window, Your Content is permanently deleted (see Privacy Policy).
Outstanding fees remain due.

9. Intellectual property

admeistr (the software, brand, and design) is and remains our property.
Your Content remains yours.
AI-generated outputs based on Your Content are licensed to you under the same terms as Your Content; you are responsible for any third-party rights they may touch.

10. Disclaimers

ADMEISTR IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

11. Limitation of liability

To the maximum extent permitted by law, admeistr's total liability under these Terms is limited to the greater of the amount you paid us in the 12 months preceding the claim, or USD 100. We are not liable for indirect, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, data, or goodwill.

12. Indemnity

You agree to indemnify and hold admeistr harmless from claims arising from Your Content, your use of the service in violation of these Terms, or your violation of third-party rights.

13. Governing law and disputes

Section pending — to be set by counsel based on company jurisdiction.

14. Changes to these Terms

We may update these Terms periodically. Material changes will be emailed to workspace owners and posted here with a revised "Last updated" date. Continued use after the change date is acceptance.
